Rachel G. Talay


Rachel Talay specializes in business and real estate transactions, corporate governance and intellectual property matters. She also holds a Top Secret security clearance and provides guidance on national security investigations.

Rachel counsels companies and individuals on matters that are sensitive or classified and aspects of business transactions from due diligence to consummation. She assists companies with formation and start-up activities as well as financings. Rachel evaluates, reviews, drafts and negotiates commercial contracts and agreements and assists with certain government contracting matters. She also handles real estate settlements and refinancings for Virginia properties.

Rachel acts as outside general counsel to a number of companies and works with boards of directors, shareholders and executive officers. She assists companies with their day to day operations and provides guidance on best practices and growth strategies.

Rachel helps clients protect and grow their brands around the world through trademark prosecution, assignments, cease and desist efforts and licensing arrangements. She also provides guidance on maintaining, protecting and enforcing trademarks and trademark portfolios.

She represents whistleblowers and cooperators in investigations and other matters involving U.S. law enforcement agencies, intelligence agencies and other government agencies.

Rachel provides guidance on antitrust matters with a focus on merger notifications and trade associations. She also counsels companies on gun jumping and premerger information exchange issues. She handles the preparation and filing of Hart-Scott-Rodino (HSR) Notifications and related foreign filings, and assists with related investigations.

In addition, Rachel has experience with EB-5 investment immigration matters, regional centers and related investigations.
